Terms of Sale

1. Who you’re dealing with
Tandem is made by Bryan Kolb, an individual (“I”, “me”). I license Tandem to you. You can reach me at support@tandem.ink or +1 732 629 8587.
2. Paddle
Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns.
In practice: Paddle handles orders, payment, invoices and refunds. I handle questions about the software and your license key.
When you buy a license key, you buy it from Paddle, under Paddle’s Buyer Terms. Paddle takes your payment, charges any VAT or sales tax, issues your invoice and processes refunds. These terms cover what I license to you: the software and your license key. By buying a key, or by using a key I issued without a purchase, you agree to these terms and, if you bought the key, to the Refund Policy.
3. What you’re buying
A license key for Tandem 1.0 and later. The key turns on Tandem’s AI features as Tandem’s license defines them. They include any AI agent, such as Claude, working in your documents through Tandem’s MCP server, and the chat panel. Your right to use the AI features with that key doesn’t expire.
The key is a signed file. Tandem checks its signature on your own computer and never asks a server before it runs, and nothing counts how many computers you use it on. The only thing about your key that leaves your computer is its ID, which the desktop app’s built-in updater sends when it checks for new versions.
4. The license
Your use of each version of Tandem is governed by the license published with that version: the Business Source License 1.1 with its Additional Use Grant. If these terms and that license ever disagree about what you may do with Tandem, the license wins, except that no later version’s license can take this from a key I issued under these terms: for personal use or individual self-hosting, as this version’s license defines them, the key turns on the AI features in every later version, without expiry.
A key isn’t for one installation serving several people, or for running Tandem as a service for others. Nothing for that kind of use is on sale; if you need it, write to me first.
5. Before you buy
Tandem 1.0 and later runs with every feature for 14 days from the first launch of any 1.0 or later version on a device, counted once across all such versions, with no account and no card. After that, the editor keeps working without a key; only the AI features need one. Every version released before 1.0 stays free for personal use and individual self-hosting, with no time limit.
6. Updates
Your key covers every version of Tandem from 1.0 on, including versions released after you buy, with no renewal and no paid upgrade. I can’t promise that any new version will be released, or that any particular feature will be added or kept. This doesn’t affect any legal duty to provide fixes needed to keep Tandem working as described.
7. AI services aren’t included
A license key doesn’t include an AI service or model. Whatever AI you use with Tandem, such as Claude Code, you get separately, with whatever plan or account it needs, under its provider’s terms. What an AI writes or changes in your documents comes from that AI, not from me; review it before you rely on it.
8. Your key carries your email
Your email address is written into your license key, so you’ll probably want to keep the key and its file private. How I handle your details is on the privacy page.
9. Refunds
See the Refund Policy.
10. Your rights, and what I don’t promise
If you’re a consumer, the law where you live gives you rights that these terms don’t take away, for example that Tandem matches its description. That applies to the disclaimer in Tandem’s license too.
Beyond those rights and what these terms state, Tandem is provided “as is”, and I make no other warranty, including any implied warranty of merchantability or fitness for a particular purpose.
11. Liability
Nothing in these terms limits liability for fraud, for gross negligence or intentional misconduct, for death or personal injury caused by negligence, or any liability that the law where you live doesn’t allow to be limited.
Otherwise, my total liability to you for anything to do with Tandem or your license key is limited to the greater of the amount you paid for the key and US$50, and I’m not liable for loss that wasn’t reasonably foreseeable. If you use Tandem for business, I’m also not liable for lost profits or lost data. Whoever you are, keep backups of documents that matter.
12. Keys that weren’t bought
These terms also apply to a key I issued without a purchase, such as a beta tester’s key, except the Refund Policy, which assumes a payment.
13. Changes
I may update these terms. A change applies to purchases made after it is published; it doesn’t change the terms of a key I’ve already issued to you.
14. Governing law
These terms are governed by the laws of New Jersey, USA. If you’re a consumer, you also keep the protection of any mandatory law of the place where you live.
